4 steps to registering your UK company
Establishing a UK company is highly straightforward. We ensure your entity meets all UK Registry standards while providing the essential local infrastructure needed for your company to thrive.
At least 1 director and 1 shareholder (can be the same person; individual or corporate, non‑resident allowed).
Incorporated as a private company limited by shares under the Companies Act 2006.
A registered office address in the relevant UK jurisdiction and a registered email address are required. A company secretary is generally optional, unless required by the company’s Articles of Association.
Company and accounting records must be maintained. Annual accounts and a confirmation statement must be filed with Companies House, with tax returns submitted to HMRC where required.
An annual audit may not be required if the company qualifies for an audit exemption. Eligibility depends on its size, activities, group structure and other applicable conditions.
WiseBridge manages your mandatory local presence by acting as your bridge to the islands. We provide a qualified Registered Agent and official address to handle all statutory filings and legal correspondence effectively.
WiseBridge simplifies the incorporation process for international founders through a secure digital workflow. We handle the technical filings so you can focus on your business strategy. Our process includes:
1. KYC & Onboarding: Provide identification, proof of address and basic business details so we can carry out the required KYC and compliance checks. We also guide you through the applicable Companies House identity-verification requirements.
2. Document Preparation: We confirm your proposed company name, ownership structure and registered office arrangements, then prepare your Memorandum and Articles of Association and the required incorporation documents for your review.
3. Registry Filing: WiseBridge coordinates the submission of your incorporation application to Companies House and monitors its progress through to registration.
4. Company Registration & Handover: Once your company is incorporated, we provide your Certificate of Incorporation and incorporation documents, together with guidance on your next steps and ongoing compliance obligations.
The UK has an established corporate tax and reporting framework. Companies must maintain proper financial records and meet the applicable tax and annual filing obligations.
Corporation Tax: A 19% small profits rate and a 25% main rate apply, with marginal relief available for eligible companies between the relevant profit thresholds.
Overseas Profits: UK tax-resident companies generally pay Corporation Tax on both UK and overseas profits, including trading income, investment income and chargeable gains.
Annual Reporting: Annual accounts and a confirmation statement must be filed with Companies House, with Company Tax Returns submitted to HMRC where required.
Audit Exemption: Eligible private companies may qualify for exemption from an annual statutory audit, but must still prepare and file annual accounts.
WiseBridge can help coordinate your accounting, tax and annual compliance requirements, with services quoted according to your business needs.
A note on the tax rates
The standard profit thresholds are £50,000 for the small profits rate and £250,000 for the main rate, with marginal relief potentially available between them. These limits are reduced for short accounting periods and associated companies, so avoid advertising “19% tax” as a flat rate for every UK company.
WiseBridge supports your UK company’s business account application and ongoing administration. We help coordinate the required documentation and guide you through the onboarding process, subject to the chosen provider’s eligibility criteria.
Business account application support, including multi-currency options where available.
Guidance on documentation for Know Your Customer (KYC) and anti-money laundering (AML) checks.
Coordination of company documents and application requirements.
Ongoing company administration and annual filing support, according to your selected service package.
We simplify the administrative process so you can focus on your business. From account application to ongoing compliance, WiseBridge helps you understand the requirements and coordinates support with the relevant service providers.
Account opening is subject to the provider’s assessment and approval. Remote onboarding, account features and additional verification requirements vary by provider and applicant.
